Head of Corporate Finance

(Listed Group | Senior Leadership Role | Hong Kong)

The Opportunity

We are supporting a Hong Kong–listed group with diversified investments in appointing a senior corporate finance leader to take ownership of group level governance, transactional execution, and regulatory compliance. This position sits at the leadership table and works closely with the Board and executive management on both strategic initiatives and statutory matters.

Key Responsibilities

• Serve as the principal advisor to senior management and the Board on corporate finance, governance, and regulatory compliance matters

• Work closely with company secretarial department for the listed entity and its subsidiaries, ensuring best in class governance standards

• Drive and execute a broad range of corporate transactions, including equity and debt related exercises, restructuring activities, and reportable transactions under Hong Kong Listing Rules (rights issue, placing, disclosable, major and connected transactions, VSA/VSD, convertible notes etc.)

• Manage all statutory filings, corporate records, disclosures, and Board / shareholders’ meetings

• Act as the primary contact point with regulators, professional advisers, and external stakeholders

• Guide and mentor a small professional team while maintaining hands on involvement in complex matters

Candidate Profile

• Extensive, hands on experience in corporate finance and company secretarial work within Hong Kong listed companies

• Strong working knowledge of HKEX Listing Rules, Companies Ordinance, and SFO disclosure requirements

• Proven track record in handling transaction documentation such as announcements, circulars, board papers, and prospectus level materials

• Membership of HKICS / ICSA is preferred

• Typically 15+ years of relevant experience, with exposure to real estate / property development industry

• Able to operate independently, manage competing priorities, and communicate confidently with senior stakeholders

• Excellent written and spoken English and Chinese
