What you'll do
- Provide specialized legal advice and guidance on M&A transactions, investments, and joint ventures.
- Support and lead complex corporate transactions with a focus on deals involving crypto and Web3-related products.
- Draft, review, and negotiate commercial agreements to protect company interests, particularly in M&A and joint ventures.
- Ensure compliance with applicable laws and regulations across jurisdictions, including regulatory issues related to crypto and Web3.
- Monitor and advise on legal risks emerging from innovations in crypto and Web3 spaces.
- Manage relationships with external legal counsel, especially those with expertise in M&A and blockchain-related matters.
- Collaborate with product, finance, and business teams to provide legal insight on Web3 and crypto initiatives.
- Develop and implement corporate policies and procedures relevant to emerging technologies.
- Mentor and provide guidance to junior legal staff and paralegals on specialized transaction matters.
What you'll need
- A law degree (LLB, JD or equivalent) from an accredited institution and admission to practice law.
- Minimum of 5-8 years of experience in corporate law, preferably within a large corporation or law firm.
- Strong specialization in mergers and acquisitions (M&A), investment, and joint venture transactions.
- Knowledge and experience in crypto and Web3 technologies, especially with regard to product knowledge, preferred.
- Strong knowledge of corporate governance, securities law, contracts, and compliance.
- Proven experience in negotiating and drafting a wide range of commercial agreements.
- Excellent analytical, problem-solving, and communication skills.
- Ability to provide practical legal advice aligned with business objectives.
- Strong leadership and project management skills.
- Experience managing external counsel and collaborating with cross-functional teams.
- High ethical standards and integrity.
- Fluency in English and Mandarin.
